This User Agreement outlines the terms and conditions between Gryb Olga (referred to as "we," "us," or "our") and the user (referred to as "you" or "your"). By accessing or using the EasyMate system (the "System"), you agree to the terms and conditions set forth below. If you do not agree with these terms, do not access or use the System. The System provides services for auto dealerships, including website builders, inventory management, lead and credit application collection, and individual referral websites for dealership sales staff. All services are offered in compliance with Canadian and Ukrainian laws.

1. Effective Date

Services will begin once your account is activated on the EasyMate platform.

 

2. Services Provided

The EasyMate System offers the following services to auto dealerships:

• Easy website builder for dealerships
• Inventory management
• Lead and credit application collection, with the goal of sending them directly to the dealership without storing or sharing them with third parties
• Referral stream services, allowing dealerships to create individual, mirror websites for sales staff to use as personal marketing tools to generate referral traffic

3. Age Restriction

The System is available only to legal entities or individuals of legal majority who can form legally binding agreements. If you do not meet this requirement, you are not permitted to use the System.

 

4. Intellectual Property

All intellectual property, including the content, design, and functionality of the EasyMate platform, is the sole property of Hryb Ihor Mykhailovych or third-party licensors. You are granted a limited, non-transferable license to use the platform while actively subscribing to our services. Unauthorized copying, reproduction, or distribution of the content is strictly prohibited.

 

5. Payment Terms and Subscription Policy

• We offer services on a monthly or annual subscription basis. Subscriptions will automatically renew unless canceled in writing before the renewal date. There will be no prorated refunds if the service is canceled before the renewal date. In the event of cancellation, service will remain active until the subscription’s expiry date.
• The subscription anniversary will be the initial subscription day of the month for monthly plans, or the day and month of the year for annual plans.
• If you cancel an annual subscription before the renewal date, the service will remain active until the subscription term ends, and no refunds will be provided for the remaining time.

 

6. Privacy & Data Use

We respect your privacy. We do not store or share leads or credit applications with third parties beyond sending them to the dealership. However, we may share information for the promotion of your dealership’s inventory and services as requested. You are responsible for maintaining the confidentiality of your passwords and account information, as well as ensuring the integrity of data inputted into the system (e.g., leads, inventory, etc.). We will not be liable for any loss, damage, or issues arising from the failure to protect account credentials.

 

7. Limitation of Liability and Disclaimer of Warranties

• Your use of this system and our products is at your own risk. The information, materials, products, and services provided by us are provided “as is” and “as available” without any warranties of any kind, including warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or those arising out of a course of dealing or usage of trade. The foregoing exclusions of implied warranties only apply to the extent permitted by applicable law.
• To the extent permitted by applicable law, we do not assume any responsibility for any technical problems, damages, or viruses that may infect your computer, telecommunications equipment, or other property arising from accessing or using the System, browsing, or downloading materials from the System.
• In no event will EasyMate or any of its respective officers, directors, employees, affiliates, agents, or successors, nor any party involved in the creation, production, or transmission of this System, be liable to you or any third party for any indirect, special, punitive, incidental, or consequential damages (including, without limitation, lost profits, lost data, or business interruption) arising out of the use or inability to use this System or any associated services or materials, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not advised of the possibility of such damages. The foregoing limitations of liability only apply to the extent permitted by applicable law.
• If any part of these warranty disclaimers or limitations of liability is found to be invalid or unenforceable for any reason, our aggregate liability for all claims will not exceed the lesser of (i) the amount paid by the company for the use of the System during the prior six (6) months or (ii) one hundred dollars (CAN$100).
• To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless EasyMate, its officers, directors, employees, business partners, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including but not limited to attorneys’ fees) arising from: (i) any breach by you of any of these Terms; (ii) your use of the System, including any data you input or retrieve; (iii) your violation of applicable law or any agreement with a third party.

 

8. Data Backup Disclaimer

EasyMate does not guarantee the preservation or storage of any data entered into the System. You are solely responsible for backing up all data, including leads, inventory information, and any other relevant data you enter into the System. EasyMate will not be liable for the loss of any data or information, whether due to technical failures, account termination, or other reasons.

 

9. Independent Legal Review and Agreement

You acknowledge that you have had sufficient time and opportunity to seek independent legal advice in connection with this agreement and that you freely agree to the terms, conditions, and statements contained herein without any undue influence.

 

10. Account Termination Information

You agree that EasyMate, at its sole discretion, may terminate or suspend your account, access to the System, services, or content at any time and for any reason, with or without notice. If such termination or suspension occurs, you agree to (a) immediately discontinue using the System and (b) destroy any copies of content you have made. Any continued use after termination may constitute an act of trespass. EasyMate will not be liable to you or any third party for account suspension or termination.

 

11. Rules of Conduct

You agree not to:

• Post, transmit, or upload any harmful or offensive content.
• Use any device, software, or routine to interfere with the operation of the System.
• Attempt unauthorized access to the System, other accounts, or our services.
• Share or misuse your passwords. You are responsible for the security of your passwords and all activity conducted under your account.
• Notify us immediately of any unauthorized use of your account.
• If you believe your account has been compromised, contact us immediately. EasyMate reserves the right to access and disclose information to comply with applicable laws or governmental requests.

 

12. Protection of Privacy

• We respect your privacy and protect your information with care. We will only share your information with classified third-party websites that promote your inventory and company as per your request. Our employees are authorized to request and access personal information only when necessary to perform job duties.
• We will comply with all applicable legal obligations regarding privacy, security, integrity, and confidentiality of data collected from customers, except for aggregated data that does not identify individuals. You authorize us to use any information relating to your customers to promote our products and services.
• We may also use cookies (small text files placed on your device) and similar technologies to fulfill our services. These technologies may be controlled by us or third-party service providers for these purposes.
• By default, most browsers will automatically accept cookies. You may disable cookies, but doing so may impair the functionality of the Service.

13. Dispute Resolution

Any disputes will be resolved in the courts of Ternopil, Ukraine, or within 100 kilometers from it. Both parties agree to settle disputes amicably whenever possible.

 

14. Governing Law

This agreement shall be governed by the laws of Canada and Ukraine, without regard to any conflict of law provisions.

16. Payment Options

17. Recurring Payment Features

• By default, the subscription lasts for three years. This means 36 monthly payments for a monthly plan or three payments for an annual plan.
• You can cancel the next payment anytime by sending us a request via any available messenger.

18. Service Termination

• You can unilaterally cancel recurring payments for our service at any time.
• To do so, simply contact us to cancel regular (monthly) payments, and we will cancel them within 24 hours.
• Your current, already paid plan will remain active until its end date, even after you cancel the recurring subscription.

19. Refund Policy

• We do not offer refunds for paid services already provided or for services in a current operational state. However, we are ready to help you tailor them to your needs and tasks.
• If you have doubts about the quality of our services, start with a minimum monthly plan to test the service, or use the free version.
